Terms and Conditions for Sophina
Effective Date: 1 April 2025
Welcome to Sophina, a mobile application developed and operated by Viralect LTD (“Viralect,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of the Sophina app and related services (collectively, the “Services”). By using Sophina, you agree to be legally bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.
If you do not agree to these Terms, please do not use the Services.
1. Eligibility and Acceptance
You may use Sophina only if you are at least 13 years old and capable of entering into a binding legal agreement. If you are under 18, you must have the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.
If you are using Sophina on behalf of an organization, you represent that you are authorized to bind that entity to these Terms.
2. Modifications to the Terms
We may revise these Terms from time to time. When we do, we’ll update the “Effective Date” above. Continued use of the Services after any update means you accept the revised Terms. If changes are material, we may provide additional notice.
3. Description of the Services
Sophina helps users turn written content into engaging video scripts using a proprietary algorithm developed in collaboration with journalist Sophia Smith Galer. All content is processed locally on your device. We do not upload, store, or access your personal content.
The features and functionality of the app may change or evolve at our discretion without notice.
4. User Accounts
You may be required to create an account to access certain features. You agree to provide accurate information and keep your credentials secure. You are responsible for all activity that occurs under your account.
5. Content and User Conduct
a. User-Generated Content
Any content you input into Sophina, such as articles or drafts, is processed on your device and remains solely yours. We do not store, access, or view your User Content.
You agree not to input or generate content that:
Infringes any intellectual property or privacy rights;
Contains unlawful, offensive, or defamatory material;
Violates any applicable laws or regulations.
We reserve the right to suspend access if we reasonably believe a user is misusing the Services.
6. License to Use Sophina
We grant you a personal, non-transferable, non-exclusive, revocable license to use Sophina solely for lawful, personal, or internal business purposes. You may not copy, reverse engineer, or distribute any part of the app without written permission.
7. Intellectual Property
All intellectual property rights in the Sophina app, including the algorithm, design, branding, and content (excluding User Content), are owned by Viralect LTD or its licensors. The name Sophina and related marks are trademarks of Viralect LTD.
You may not use any of our branding or proprietary content without prior written consent.
8. Privacy
We take your privacy seriously. Sophina does not collect personal or identifiable content. We only collect anonymous app usage data for performance improvement, as outlined in our Privacy Policy.
By using the Services, you consent to the collection and use of non-identifiable analytics data in accordance with our Privacy Policy.
9. No Ads, No In-App Purchases
Sophina is a focused, ad-free experience. We do not serve third-party advertisements or offer in-app purchases or subscriptions.
10. Disclaimers
The Services are provided “as is” and “as available.” We make no warranties regarding reliability, availability, or fitness for a particular purpose. We do not guarantee that the app will be error-free or uninterrupted.
11. Limitation of Liability
To the fullest extent permitted by law, Viralect LTD shall not be liable for:
Indirect, incidental, or consequential damages;
Loss of data, profits, or goodwill;
Any damages exceeding £50 or the amount you paid us in the prior six months (whichever is greater).
12. Indemnification
You agree to indemnify and hold harmless Viralect LTD from any claims, losses, or legal fees arising from your misuse of the Services, your User Content, or your breach of these Terms.
13. Termination
We may suspend or terminate your access to the Services at any time, without notice, if we believe you’ve violated these Terms. Upon termination, the rights and licenses granted to you under these Terms will cease.
14. Governing Law
These Terms are governed by and interpreted under the laws of England and Wales. Any disputes will be resolved exclusively in the courts of London, UK.
